All delivery times are estimates only.

Title and risk of loss transfer to you once the product is delivered to the carrier.

We are not responsible for shipping delays, customs delays, or carrier errors.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

ESSENTIAL ACIDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

You acknowledge that research materials inherently carry risks and you assume all responsibility for their handling and use.

SECTION 12 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Essential Acids, its officers, employees, affiliates, and service providers from any claims, damages, liabilities, or expenses arising out of:

Your misuse of products;
Your violation of these Terms;
Your violation of any law;
Any third-party claims arising from your handling or use of products.

SECTION 13 – TERMINATION

We may suspend or terminate your access at any time for violation of these Terms.

Sections relating to liability, indemnification, disclaimers, and governing law survive termination.

SECTION 14 – GOVERNING LAW

These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict of law principles.

Any disputes shall be brought exclusively in the state or federal courts located in Wyoming.

Continued use of the Services after changes constitutes acceptance.

SECTION 17 – REGULATORY COMPLIANCE & EXPORT CONTROL

You acknowledge and agree that products sold by Essential Acids are laboratory research materials and may be subject to U.S. federal, state, and international laws and regulations, including but not limited to export control laws.

You represent and warrant that:

You will use products solely for lawful laboratory, analytical, or scientific research purposes;
You will not use products in violation of any applicable law or regulation;
You are not located in, under the control of, or a national or resident of any country subject to U.S. trade sanctions or embargoes;
You are not listed on any U.S. government denied-party, restricted-party, or sanctions list;
You will not export, re-export, transfer, or resell products in violation of U.S. Export Administration Regulations (EAR) or any other applicable export control laws.

You are solely responsible for ensuring compliance with all import, export, customs, and regulatory requirements applicable to your jurisdiction.

Essential Acids reserves the right to:

Refuse or cancel orders that raise compliance concerns;
Request additional documentation to verify lawful research use;
Report suspicious transactions to appropriate authorities where required by law.

Failure to comply with this section constitutes a material breach of these Terms.

SECTION 18 – BINDING ARBITRATION & CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Agreement to Arbitrate

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Services, or the purchase or use of any products shall be resolved exclusively through final and binding arbitration, rather than in court.

Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall take place in Wyoming, unless otherwise required by applicable law. Judgment on the arbitration award may be entered in any court having jurisdiction.

Waiver of Jury Trial

YOU AND ESSENTIAL ACIDS WAIVE ANY RIGHT TO A JURY TRIAL.

Class Action Waiver

YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

The arbitrator shall have no authority to consolidate claims or preside over any form of class or representative proceeding.

Exceptions

Nothing in this section prevents Essential Acids from seeking injunctive or equitable relief in a court of competent jurisdiction for intellectual property infringement or misuse of products.
